The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 16, 2022, and Dec. 6, 2022.

Number of shares:  20,523,668 shares

Purchase price:  six cents per share

Warrants:  20,523,668 share purchase warrants to purchase 20,523,668 shares

Warrant exercise price:  12 cents for a two-year period

Number of shares:  6,142,998 flow-through shares

Purchase price:  six cents per share

Number of placees:  36 placees

Total existing insider involvement:  863,668 (two placees)

Total pro group involvement:  675,000 (three placees)

Finder's fee:  $9,700 cash and 135,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 12 cents for a period of two years from the date of issuance.

The company issued a news release on Dec. 22, 2022, confirming the closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
