Terms of Use

These Terms of Use apply to all Stockwatch end-user products and services, unless otherwise noted, including the Stockwatch website(s) and web services at stockwatch.com (collectively the "Stockwatch Websites") and Stockwatch software including, without limitation, the Stockwatch Desktop, the Live Ticker, the Daytrader Workstation, the Stockwatch Ticker iPhone and iPad apps, and the Stockwatch Ticker Android app (collectively the "Stockwatch Software").

By using the Stockwatch Websites or Stockwatch Software (collectively the "Stockwatch Properties") you agree to be bound by the following terms and conditions:

1. Ownership

The Stockwatch Properties are owned and operated by Canjex Publishing Ltd. (doing business as Stockwatch). All information, software, graphics, photos, content, and materials displayed on, downloaded from, or otherwise associated with, the Stockwatch Properties are copyright Canjex Publishing Ltd., unless specifically stated otherwise.

"Stockwatch" is a registered trademark of Canjex Publishing Ltd.

All third-party names and trademarks appearing in the Stockwatch Properties are the property of their respective owners.

Stockwatch is a licensed user and disseminator of information owned or provided by various Third-Party Suppliers, including securities exchanges. Where applicable, users of the Stockwatch Properties will be required to accept and abide by supplemental third-party agreements ("Exchange Agreements") governing their use of information originating from such Third-Party Suppliers.

2. Professional or Non-Professional Status

If applicable to your Stockwatch Subscription level and options, you are required to accurately identify yourself as either a "Professional" or "Non-Professional" for the purpose of obtaining stock market and other data. You may only identify as a Non-Professional if you meet all of the requirements defined in the Stockwatch Properties and in all supplemental Exchange Agreements applicable to your Stockwatch Subscription. Stockwatch does not condone or tolerate Professional subscribers who falsely claim to be Non-Professionals to avoid professional-level Third-Party Supplier fees. Stockwatch reserves the right to pass through to such subscribers any additional fees imposed on Stockwatch by such Third-Party Suppliers. For further information please see the Stockwatch Non-Professional Definition and also review the individual Exchange Agreements applicable to your Stockwatch Subscription.

3. No Redistribution

You may use the Stockwatch Properties for your own information, research, and entertainment purposes only, according to these Terms of Use, your Stockwatch Subscription level, and the individual Exchange Agreements you accept as part of your Stockwatch Subscription. The redistribution or other dissemination, by any means whatsoever, of any content from the Stockwatch Properties to any third-party without the written permission of Stockwatch is strictly prohibited.

Stockwatch often permits the limited republication of charts, tables and other information from the Stockwatch Properties, subject to the following conditions:

a. You must first receive permission from Stockwatch.

b. You display the following message along with the information:

If the information is re-published on web-enabled media, the above message must be an active link to https://www.stockwatch.com (as shown above).

c. You display the following copyright notice along with the information:

d. Your display of the information does not violate these Terms of Use or any applicable Exchange Agreement.

4. Software License

Stockwatch grants you a revocable non-exclusive license to use Stockwatch Software according to these Terms of Use, and the following specific terms:

a. You may use Stockwatch Software only as intended, and solely in conjunction with the Stockwatch Properties and your Stockwatch Subscription if applicable.

b. You may not decompile or otherwise reverse engineer Stockwatch Software.

c. You are not granted any right of ownership to Stockwatch Software.

d. You may not redistribute or resell Stockwatch Software.

e. Stockwatch may terminate this Software License at any time without prior notice.

5. No Automation

You are permitted to interact with the Stockwatch Websites on an individual basis using recognized commercial web browsers only. The use of automation software or any other mechanism to download information in bulk or make excessive or repetitive requests from the Stockwatch Websites is strictly prohibited.

6. No Warranty

The Stockwatch Properties are provided "as-is" and operated on a "best efforts" basis. You are advised that any information displayed on the Stockwatch Properties may or may not be accurate, timely, relevant, or appropriate. You are further advised the Stockwatch Properties are subject to service outages without prior notice. Canjex Publishing Ltd. makes no warranties or representations whatsoever, either express or implied, including without limitation any warranties with respect to information accuracy, information timeliness, service availability, merchantability, or fitness for a particular purpose.

7. No Liability

You agree to assume all risk in using the Stockwatch Properties. Canjex Publishing Ltd. and, without limitation, its owners, directors, officers, employees, contractors, agents, and Third-Party Suppliers are not liable for any direct, indirect, special, exemplary, punitive, or consequential damages, including lost profits, or any other circumstance arising from your use of the Stockwatch Properties, whether or not Canjex Publishing Ltd. was advised of such a possibility.

8. No Advice or Recommendation

The Stockwatch Properties are provided for information, research and entertainment purposes only. The Stockwatch Properties DO NOT provide investment advice. The Stockwatch Properties DO NOT recommend the buying or selling of any security or investment.

9. Termination

Stockwatch reserves the right to terminate your Stockwatch Subscription or block your use of the Stockwatch Properties at any time without prior notice and for any reason whatsoever including, without limitation and as solely determined by Stockwatch, if your use of the Stockwatch Properties is deemed to violate these Terms of Use or any applicable Exchange Agreement, your use of the Stockwatch Properties is deemed illegal, malicious, disruptive, or generally incompatible with the intended purpose of the Stockwatch Properties, or your behaviour toward Stockwatch staff is deemed rude or abusive.

10. Cancellation

You may cancel your monthly Stockwatch Subscription at any time upon request. When you cancel your monthly Stockwatch Subscription you are responsible for all charges incurred up to the end of the current month. Stockwatch bills in arrears so your final invoice and payment will normally occur in the month following cancellation. You are advised to check your credit card statements, following your final payment, to confirm that further automatic payments have ceased as expected. Cancellation errors are considered billing errors and are subject to the Stockwatch Refund Policy.

11. Refund Policy

All sales are final. All Stockwatch charges are non-refundable except over-charges due to billing or payment errors, as solely determined by Stockwatch. Stockwatch invoices may include Stockwatch fees, Third-Party Supplier fees and other charges. You are advised to examine your Stockwatch invoices and corresponding credit card transactions promptly and carefully. If you suspect you have been over-charged due to a billing or payment error, you must request a refund within sixty (60) days of the corresponding billing or payment date. Under no circumstances will Stockwatch refund payment(s) dated over sixty (60) days prior to the date of a refund request.

12. Additional Notices, Conditions and Disclaimers

12.1. External Web Links

The Stockwatch Properties contain links to many other web sites. Stockwatch is not responsible for the content, policies, or any other aspect of such sites.

12.2. Stockwatch Headlines

Stockwatch routinely adds its own pithy, 55-character filing headlines to news releases, leaving out the spin, jargon, euphemisms, buzzwords and political correctness often found in company headlines. Stockwatch's headlines are Stockwatch's take on the news. Of course, the company's own headline remains sacrosanct, appearing verbatim, without length restriction, in large, striking capital letters, immediately above the company's news release.

12.3 Governing Law

These Terms of Use are governed by the provincial laws of British Columbia and the federal laws of Canada.
