A.C.L. CONSTRUCTION LTD. COMPLETES SHARES FOR DEBT SETTLEMENT
ACL Construction Ltd. has received final approval from the TSX Venture Exchange to settle an aggregate of $35,000 of indebtedness owing to a director of the company through the issuance of 116,667 common shares of the company at a deemed price of 30 cents per debt share.
The indebtedness settled was owed to the creditor pursuant to loans advanced by the creditor to the company. The company now has 73,638,741 common shares issued and outstanding following the completion of the shares for debt transaction.
The debt shares issued in connection with the shares for debt transaction are subject to a statutory hold period of four months and one day from the date of issuance in accordance with applicable Canadian securities laws.
Because the creditor is a director of the company, the shares for debt transaction constituted a related party transaction within the meaning of Multilateral Instrument 61-101 -- Protection of Minority Security Holders in Special Transactions. The company relied on the exemptions from the formal valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and 5.7(1)(a) thereof, respectively, on the basis that neither the fair market value of the securities issued to nor the fair market value of the consideration paid by the creditor exceeds 25 per cent of the company's market capitalization.
