AF3 Capital Corp.'s capital pool company (CPC) amended and restated prospectus dated May 12, 2026, amending and restating the prospectus dated April 30, 2026, has been filed with and accepted by the TSX Venture Exchange, and the Ontario, Alberta, British Columbia and Prince Edward Island securities commissions, effective May 13, 2026, under the provisions of the respective securities acts. The common shares of the company will be listed and admitted to trading on the TSX Venture Exchange on the effective dates stated below.

The gross proceeds to be received by the company for the public offering are $300,000 (three million common shares at 10 cents per share).

Listing date:  at the close of business (5:01 p.m. EDT) on May 19, 2026

Commence date:  The common shares will commence trading on the TSX Venture Exchange at the opening on Wednesday, May 20, 2026, upon confirmation of closing.
