NETRAMARK REPORTS ITS ANNUAL GENERAL AND SPECIAL MEETING RESULTS
Netramark Holdings Inc.'s successful
annual general and special meeting of shareholders was held on July 13, 2026. A total of
42,813,285 common shares (approximately 47.59 per cent of the outstanding common shares) were
represented in person or proxy.
1. Number of directors
Resolution to set the number of directors of the company for the ensuing year at four persons
was passed by 99.93 per cent for and 4.064 per cent against.
2. Election of directors
Each of the following individuals was elected as a director of the company as approved by a vote
by ballot, for a term expiring at the conclusion of the next annual meeting of shareholders of the
company or until his or her successor is elected or appointed, as follows.
3. Appointment of auditor
The appointment of Horizon Assurance LLP, chartered professional accountants, as the auditor
of the company, to hold office until the next annual meeting of shareholders of the company and
the authorization of the directors of the company to fix the auditor's remuneration were approved
by a resolution passed by a vote by ballot, with 44,806,875 (99.984 per cent) total votes cast for and
6,410 (0.016 per cent) withheld.
4. Approval 2026 rolling stock option plan
Resolution to approve the 2026 rolling stock option plan passed by a vote by ballot, with
44,412,430 (99.727 per cent) total votes cast for and 121,465 (0.273 per cent) against.
5. Approval of the 2026 equity incentive plan
Resolution to approve the 2026 equity incentive plan passed by a vote by ballot, with 44,412,430
(99.727 per cent) total votes cast for and 121,465 (0.273 per cent) against.
