Terra Capital Natural Resources Fund ("Terra Capital") announces that on August 31, 2023, it acquired ownership of an additional 323,000 common shares (the "Shares") of AJN Resources Inc. ("AJN") at a price of $0.2221 per Share through the facilities of the Canadian Securities Exchange.

Prior to the acquisition of the Shares, Terra Capital had ownership and control, directly and indirectly, of 4,000,000 common shares and 4,000,000 share purchase warrants of AJN, representing approximately 9.48% of the then issued and outstanding common shares of AJN on a non-diluted basis and 17.31% when assuming exercise of all share purchase warrants held by Terra Capital. The acquisition of the Shares by Terra Capital gives it ownership and control, directly and indirectly, of a total 4,323,000 common shares of AJN, an increase of approximately 0.77%, for a total of approximately 10.24% of the issued and outstanding common shares of AJN on a non-diluted basis and 18.01% when assuming exercise of all share purchase warrants held Terra Capital.

Terra Capital's acquisition was made for investment purposes. Terra Capital may in the future wish to increase or decrease its shareholdings in AJN as circumstances warrant. Such circumstances may include but are not limited to compliance with applicable securities laws, general market and economic conditions, business prospects of AJN and investment and business opportunities available to Terra Capital.
