GLOBAL COMPLIANCE APPLICATIONS CORP. CLOSES UNIT FINANCING AND DEBT SETTLEMENT
Further to its news releases dated May 31, 2024, and July 5, 2024, on July 26, 2024, Global Compliance Applications Corp. completed a non-brokered private placement of 1.45 million units of the company at a price of two cents per unit for aggregate gross proceeds of $29,000. Each unit consists of one common share in the capital of the company and one share purchase warrant. Each warrant entitles the holder thereof to acquire one share at a price of five cents per warrant share for a period of 24 months from the closing date of the offering. The company intends to use the proceeds raised from the offering for general working capital purposes. All securities issued in the offering are subject to a statutory hold period of four months and one day following the date of issuance in accordance with applicable Canadian securities laws.
Additionally, the company has settled an aggregate of $249,940 of debt owed to six creditors of the company. In settlement of the debt, the company issued an aggregate of 12,497,000 units at a deemed price of two cents per settlement unit. All settlement units were issued pursuant to the employee, executive officer, director and consultant exemption set forth in Section 2.24 of National Instrument 45-106, Prospectus Exemptions, and as a result, such securities are not subject to a hold period under the prevailing Canadian securities laws.
