GLOBAL COMPLIANCE APPLICATIONS CORP. CLOSES DEBT SETTLEMENT
Further to the news release dated Oct. 17, 2024, Global Compliance Applications Corp. has settled an aggregate of $125,500 of debt owed to six creditors of the company. In settlement of the debt, the company issued an aggregate of 12.55 million common shares in the capital of the company at a deemed price of one cent per share.
A total of 9.75 million shares were issued pursuant to the employee, executive officer, director and consultant exemption set forth in Section 2.24 of National Instrument 45-106 (Prospectus Exemptions), and as a result, such securities are not subject to a hold period under the prevailing Canadian securities laws. However, the remaining 2.8 million shares are subject to a statutory hold period of four months and one day following the date of issuance in accordance with applicable Canadian securities laws.
