GLOBAL COMPLIANCE APPLICATIONS CORP. CLOSES UNIT FINANCING AND DEBT SETTLEMENT

Global Compliance Applications Corp., further to its news release dated March 21, 2025, has completed a non-brokered private placement of eight million units of the company at a price of one cent per unit for aggregate gross proceeds of $80,000. Each unit consists of one common share in the capital of the company and one share purchase warrant. Each warrant entitles the holder thereof to acquire one share at a price of five cents per warrant share for a period of 36 months from the closing date of the offering. There was an error in the company's original news release dated March 21, 2025, wherein the term of the warrant was incorrectly stated as 24 months. The company intends to use the proceeds raised from the offering for general working capital purposes. All securities issued in the offering are subject to a statutory hold period of four months and one day following the date of issuance in accordance with applicable Canadian securities laws. A finder's fee of $1,000 was paid to one finder.

Additionally, the company has settled an aggregate of $360,891 of debt owed to five creditors of the company. There was an error in the company's initial news release on March 21, 2025, wherein the amount of debt owing was incorrectly stated as $351,891. In settlement of the debt, the company issued an aggregate of 36,089,141 units at a deemed price of one cent per settlement unit. Each settlement unit consists of one common share in the capital of the company and one-half of one share purchase warrant. Each whole warrant entitles the holder thereof to acquire one share at a price of five cents per warrant share for a period of 24 months from the closing date of the debt settlement. The settlement units were issued pursuant to the employee, executive officer, director and consultant exemption set forth in Section 2.24 of National Instrument 45-106, Prospectus Exemptions, and, as a result, such securities are not subject to a hold period under the prevailing Canadian securities laws. However, the warrants, underlying common shares and warrant shares, if applicable, comprising 18,044,570 settlement warrant shares are subject to a statutory hold period of four months and one day following the date of issuance in accordance with applicable Canadian securities laws.
