The TSX Venture Exchange has accepted for filing documentation the option agreement dated Dec. 31, 2024, among the company, its subsidiaries and an arm's-length party.

Pursuant to the terms of agreement, the company has granted the arm's-length optionee the right to acquire up to 30,219 common shares of FoodsUp Inc. at prices varying from $470 to $658 per FoodsUp share. The arm's-length optionee may exercise the option until the expiry date of July 1, 2026. If all 30,219 FoodsUp shares are purchased through the option, then following a 100-day non-option period, the company will grant arm's-length optionee the secondary option to purchase all or a portion of any remaining FoodsUp shares held by the company at a price equal to the last exercise price paid in the option. The secondary option will expire 60 days after the end of the non-option period but may be extended for the purpose of obtaining any required approvals. The company or arm's-length optionee may arrange for a third party to purchase the FoodsUp shares from the company under the option. No supplemental finder's fee will be paid outside of the original option payment.
