ARIS MINING ANNOUNCES PRICING OF US$450 MILLION SENIOR NOTES OFFERING TO FUND REDEMPTION OF OUTSTANDING 6.875% SENIOR NOTES
Aris Mining Corp. has priced its offering of $450-million (U.S.) aggregate principal amount of 8.000 per cent senior notes due 2029. The offering is expected to close on or about Oct. 31, 2024. Aris Mining intends to use the net proceeds from the offering of the notes to finance the redemption of its outstanding 6.875 per cent senior notes due 2026 and for working capital and general corporate purposes.
Pursuant to the terms of the indenture governing the 2026 notes, the company has issued a conditional notice of redemption to redeem the outstanding 2026 notes, which redemption will be conditional upon the successful completion of the offering of the notes.
The notes will be offered and sold in the United States only to persons reasonably believed to be qualified institutional buyers in accordance with Rule 144A under the U.S. Securities Act of 1933, as amended, and to non-U.S. persons outside the United States in reliance on Regulation S under the securities act. The notes will be offered and sold in Canada on a private placement basis pursuant to certain prospectus exemptions.
