The TSX Venture Exchange has accepted for filing documentation with respect to a share exchange agreement dated May 12, 2025, with an arm's-length vendor and the shareholders of the vendor, the owner of 40 mineral concessions comprising 2,351 hectares in the Quebec municipalities of Lac Saint-Paul, Mont-Saint-Michel and Lac-Douaire (the Mont-Laurier uranium property).

In consideration for the shares of the vendor, the company will issue the following.
