Advanced Gold Exploration Completes Purchase with final Payment for the Silver Belle Nevada Project
VANCOUVER, B.C. - September 14, 2026 - Advanced Gold Exploration Inc. (CSE: AUEX; FSE: ZF2; OTCQB: AUHIF) ("Advanced Gold" or the "Company") is pleased to announce that it has issued the remaining 1,500,000 common shares in the capital of the Company (the "Final Shares") to Stream Metals LLC and Kadenwood Development Corp. (collectively, the "Vendors") satisfying the second share issuance obligation under the mineral property purchase and sale agreement dated February 26, 2026 (the "Agreement") pursuant to which the Company acquired a 100% interest in the Silver Belle Project located in Eureka County, Nevada (the "Project").
In addition, the Company announces that, in lieu of the final cash payment of $50,000 originally due to the Vendors under the Agreement on or before the sixth-month anniversary of the closing date of the Agreement, the Company and the Vendors have agreed that the Company will instead pay $25,000 in cash and satisfy the remaining $25,000 through the issuance of 250,000 common shares of the Company, priced at $0.10 per share (the "Settlement Shares"). The cash payment has been made and the Settlement Shares have been issued to the Vendors concurrently with the Final Shares described above.
With the issuance of the Final Shares and the Settlement Shares, and the completion of the amended cash payment, the Company has satisfied in full its outstanding consideration obligations to the Vendors under the Agreement, other than the ongoing 1.5% net smelter returns royalty (the "Royalty") payable to Stream Metals, which remains in effect and which the Company retains the option to purchase (reducing the Royalty to 0%) for a cash payment of US$1,500,000, as previously disclosed.
All securities issued in connection with the foregoing, including the Final Shares and the Settlement Shares, are subject to a statutory hold period of four months and one day from the date of issuance, in accordance with applicable securities laws, and remain subject to the approval of the Canadian Securities Exchange (the "CSE").
Advanced Gold CEO Arndt Roehlig, states, "Completing this final payment moves the Silver Belle Project fully behind us on the acquisition side to focus our efforts on advancing exploration on our fully paid for property."
The Company also announces that it has adopted semi-annual financial reporting ("SAR") pursuant to Coordinated Blanket Order 51-933 - Exemptions to Permit Semi-Annual Reporting for Certain Venture Issuers (the "Blanket Order"). The Blanket Order allows eligible venture issuers listed on the CSE to voluntarily move from a quarterly to a semi-annual financial reporting framework. By adopting SAR, the Company aims to reduce administrative and financial burden associated with quarterly reporting. The Company's fiscal year ends on December 31. Under the SAR pilot program, the Company will no longer file interim financial reports and related Management's Discussion & Analysis ("MD&A") for its three-month and nine-month interim periods. The initial interim period for which the Company will not file is the three-month period ended September 30, 2026. The Company will continue to file audited annual financial statements and MD&A (due 120 days after December 31) and unaudited six-month financial statements and MD&A (due 60 days after June 30). The Company remains committed to timely disclosure and will continue to report all material changes and significant developments as required under National Instrument 51-102 - Continuous Disclosure Obligations and the policies of the CSE. This news release is being issued and filed pursuant to the Blanket Order.
