BADGER ANNOUNCES CLOSING OF C$300 MILLION SENIOR UNSECURED NOTE OFFERING

Badger Infrastructure Solutions Ltd. has closed its previously announced private placement offering of $300-million aggregate principal amount of 5.375 per cent senior unsecured notes due May 14, 2031. The offering was underwritten by a syndicate of underwriters led by CIBC World Markets Inc. and TD Securities Inc., as joint bookrunners. Norton Rose Fulbright Canada LLP served as legal counsel to Badger in connection with the offering. Badger will use the net proceeds from the offering to repay indebtedness under its credit facilities, including its term facility.

With this successful financing complete, Badger remains well positioned to continue its strategy of investing for growth while maintaining a strong balance sheet," said Rob Dawson, Badger's chief financial officer.

The notes were offered for sale in Canada on a private placement basis pursuant to certain prospectus exemptions.
