Beauce to sell CH-98 for 10 million Inspiration shares

2026-11-02 16:58 ET - News Release

Mr. Patrick Levasseur reports

BEAUCE GOLD FIELDS AGREES TO SELL CH-98 PHOSPHATE PROPERTY TO INSPIRATION MINING CORP.

Beauce Gold Fields Inc. has entered into an arm's-length agreement to sell its 100-per-cent interest in the CH-98 phosphate property in the Lac-Saint-Jean region of Quebec to Inspiration Mining Corp. Completion of the transaction remains subject to receipt of the necessary regulatory approvals.

The proposed sale will enable BGF to focus its exploration efforts and management resources on its core gold assets in Southern Quebec, particularly the Saint-Simon-les-Mines paleoplacer channel and its associated bedrock gold targets.

Patrick Levasseur, president and chief executive officer of Beauce Gold Fields, said: "CH-98 has delivered encouraging phosphate sampling and preliminary metallurgical results. We believe the property merits a dedicated exploration program under Inspiration's stewardship. For BGF, this transaction supports our decision to focus on advancing our Beauce gold projects while the share consideration gives our shareholders indirect exposure to Inspiration's future progress."

Charles Desjardins, president and chief executive officer of Inspiration Mining, commented: "We are excited about the opportunity to acquire CH-98, a promising phosphate property with encouraging geological, sampling and preliminary metallurgical results. We look forward to building on Beauce Gold Fields' exploration work and advancing the property's potential within Quebec's established phosphate district."

Transaction terms

Under the proposed transaction, Inspiration will issue 10 million common shares to Beauce at a deemed value of four cents per share for aggregate share consideration of $400,000.

As part of the transaction, Beauce Gold Fields has agreed to commission and deliver an independent technical report prepared in accordance with National Instrument 43-101 on the CH-98 phosphate property.

About the CH-98 phosphate property

CH-98 is located within the Lac-Saint-Jean anorthosite complex, an established geological district hosting apatite-bearing rock formations. Previously reported field sampling from the CH-98-61 showing returned 8.07 per cent P2O5. In preliminary laboratory flotation work, Corem reported a concentrate grading 38.9 per cent P2O5 with 93.4-per-cent recovery under the tested conditions. These results are from selected samples and preliminary testwork, and are not necessarily representative of the property as a whole. For additional technical details, see Beauce's news release dated March 12, 2026.

About Beauce Gold Fields Inc.

Beauce Gold Fields is focused on exploring and developing the historic placer gold district of the Beauce region of Southern Quebec. The company's objective is to trace historical placer gold workings back to potential bedrock sources and evaluate the potential for economic lode gold mineralization.

The company's flagship property is the Saint-Simon-les-Mines gold project, site of Canada's first gold rush, which predates the Yukon Klondike. The Beauce region hosted major historical placer gold operations from the 1860s through the 1960s and produced some of the largest gold nuggets recorded in Canadian mining history, including nuggets exceeding 50 ounces (source: SEDAR+, National Instrument 43-101 report -- Beauce, July 4, 2018, author B. Violette).

Beauce Gold Fields continues to explore anti-form structures that the company believes may have contributed gold to the extensive auriferous placer deposits of the Beauce region. The company's geological model is evaluating whether structural traps associated with anti-form folding and saddle-reef-style quartz mineralization may represent potential bedrock sources for gold found within the historical Beauce paleoplacer system.
