BUILDDIRECT ANNOUNCES NON-BROKERED PRIVATE PLACEMENT OF UP TO $7 MILLION

Builddirect.com Technologies Inc. has arranged a non-brokered private placement of common shares.

The offering will consist of up to 6.1 million common shares at a price of $1.15 per common share for total gross proceeds of up to approximately $7-million. The company will use the net proceeds from the offering to continue to advance Builddirect.com's growth strategy and for general working capital purposes.

Closing of the offering is subject to various conditions, including approval of the TSX Venture Exchange. No finder's fee is payable in connection with this financing.

The company's three largest shareholders, Pelecanus Investments Ltd., Lyra Growth Partners Inc. and Beedie Investments Ltd., will participate in the offering. Participation by these parties in the private placement constitutes a related party transaction as defined under Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions. The company is exempt from the formal valuation and minority approval requirements under MI 61-101 as the fair market value of these insiders' participation in the private placement will not exceed 25 per cent of the company's market capitalization, as set forth in sections 5.5(a) and 5.7(1)(a) of MI 61-101.
