Bonanza Mining Corporation Closes Debt Settlements

August 13, 2026 - Vancouver, British Columbia: Bonanza Mining Corporation ("Bonanza") (TSX-V: BNZ) announces, further to its April 10, 2026 news release announcing proposed debt settlements, that it has received TSX Venture Exchange acceptance for the settlement of $121,952.94 of indebtedness with certain insiders and arm's-length creditors for the issuance of 1,219,529 common shares at a deemed price of $0.10 per share, of which 1,180,463 shares were issued to related parties and/or insiders. These shares are subject to a hold period which will expire on December 14, 2026.

Bonanza relied on the "securities for debt" exemption appearing in section 2.14 of National Instrument 45-106, which provides that the prospectus requirement does not apply to a distribution by a reporting issuer of a security of its own issue to a creditor to settle a bona fide debt of that reporting issuer.
