September 24, 2026 – TheNewswire - BRONCO RESOURCES CORP. (TSX-V: BRON ) (“ Bronco ” or the “ Company ”) announces further to its news release dated August 31, 2026 that it has received acceptance from the TSX Venture Exchange for the previously announced debt settlement transactions (the “ Debt Settlements ”).
Pursuant to the Debt Settlements has issued an aggregate of 2,664,760 common shares (the “ Debt Shares ”) at a deemed price of $0.05 per share in full and final settlement of $133,238 of indebtedness owing to certain management, directors and arm’s length creditors (the “ Shares for Debt Transaction ”). The Debt relates primarily to unpaid management fees, equipment rental, and consulting and advisory fees that accrued over approximately two years, as more particularly described in the Company’s August 31, 2026 news release.
The Debt Shares were issued effective September 24, 2026, and are subject to a statutory hold period expiring on January 25, 2027.
As previously disclosed, participation by insiders of the Company in the Shares for Debt Transaction constituted a “related party transaction” under Multilateral Instrument 61‑101 – Protection of Minority Security Holders in Special Transactions (“MI 61‑101”). The Company relied on the exemptions from the formal valuation requirement in section 5.5(b) of MI 61‑101, as the Company is not listed on a specified market, and from the minority shareholder approval requirement in section 5.7(1)(a) of MI 61‑101, as neither the fair market value of the subject matter of, nor the fair market value of the consideration for, the Shares for Debt Transaction, insofar as it involves interested parties, exceeded 25% of the Company’s market capitalization.
