BOARDWALKTECH ANNOUNCES CLOSING OF SECOND AND FINAL TRANCHE OF NON-BROKERED PRIVATE PLACEMENT

Boardwalktech Software Corp. has closed a second and final tranche of its non-brokered private placement consisting of 1.69 million units at a subscription price of five cents per unit, for gross proceeds of approximately $84,500 raised in the second tranche. An aggregate of 17.49 million units were issued across both tranches, for aggregate gross proceeds of $874,500 raised in the offering.

Each unit consists of one common share and one common share purchase warrant. Each warrant will entitle the holder to purchase one common share at an exercise price of six cents, for a period of two years from the date of issuance.

Certain finders of the second tranche received 8-per-cent cash and 8-per-cent non-transferable finders' warrants exercisable for common shares of the company at six cents per share for two years, for 135,200 finders' warrants and $6,760 cash commissions paid in this tranche.

The company intends to use the net proceeds from the offering in connection with general corporate purposes.

Completion of the offering is subject to the final approval of the TSX Venture Exchange. The units were issued pursuant to exemptions from the prospectus requirements in accordance with National Instrument 45-106 respecting Prospectus Exemptions. The securities issued pursuant to the offering are subject to a hold period of four months plus one day from the date of issuance.
