The TSX Venture Exchange has accepted for filing documentation in connection with an arrangement agreement dated as of Oct. 2, 2026, between Core Critical Metals and its wholly owned subsidiaries 1595789 B.C. Ltd. (Spinco 1) and 1595792 (Spinco 2), pursuant to which the parties will complete a plan of arrangement under the provisions of the Business Corporations Act (British Columbia).
Under the plan of arrangement, which is fully described in Core Critical Metals' management information circular dated Aug. 21, 2026, Core Critical Metals will transfer the Senneville project, located in the Val-Senneville sector, MRC de La Valle-do-l'Or, Que., to Spinco 1, and will transfer the Timmins project, located in the Porcupine mining division, Ontario, to Spinco 2.
Under the plan of arrangement, Core Critical Metals will (i) reclassify and redesignate its existing common shares as Class A common shares (the Class A shares); (ii) create a new class of common shares (the new Core Critical Metals shares); and (iii) distribute to the shareholders of Core Critical Metals (A) one new Core Critical Metals share; (B) one Spinco 1 common share; and (C) one Spinco 2 common share for every one Class A share held.
The exchange has been advised that approval of the arrangement by the Core Critical Metals shareholders was received at a special meeting of shareholders held on Sept. 28, 2026, and that approval of the arrangement was received from the Supreme Court of British Columbia on Oct. 5, 2026. The arrangement is expected to complete on Oct. 9, 2026.
No Spinco 1 or Spinco 2 shares will be listed on the exchange on closing of the arrangement; however, Core Critical Metals has made a separate application to the exchange for listing of the Core Critical Metals shares.

Substitutional listing
In accordance with the above-referenced plan of arrangement, the Core Critical Metals shareholders who previously held common shares will have their old shares redesignated as Class A shares and exchanged on a one-for-one basis for new Core Critical Metals shares. Accordingly, the new Core Critical Metals shares will be listed on the exchange at the market opening on Oct. 14, 2026.
