CALIAN COMPLETES SALE OF U.S. COMMERCIAL IT BUSINESS TO TRACE3

Calian Group Ltd. has completed the sale of its U.S. commercial IT (information technology) business based in Houston, Tex., to Trace3, a leading technology solutions provider and digital transformation consultancy headquartered in Irvine, Calif.

The transaction was completed on the terms previously announced on Aug. 25, 2026, including upfront cash proceeds of approximately $43-million (Canadian) ($31-million (U.S.)) and the assumption by the purchaser of certain net liabilities totalling approximately $17-million (Canadian) ($12-million (U.S.)).

Stifel served as exclusive financial adviser to Calian in connection with the transaction, and LaBarge Weinstein served as legal adviser to Calian.
