The TSX Venture Exchange has accepted for filing documentation the purchase and sale agreement dated April 10, 2026, between the company and an arm's-length party (vendor). Pursuant to the terms of agreement, the company has acquired proprietary, non-public project development and evaluation assets, and intellectual property from the vendor. As consideration for the acquisition, the company has issued the vendor an aggregate 17,333,333 common shares of the company at a deemed price of 15 cents per share. The shares have a contractual hold period for an additional eight months after the statutory hold period, for a combined hold period of 12 months from the date of closing. In connection with the closing of the acquisition, the vendor has nominated an individual to the board of directors of the company for appointment.
