Terms:  Dec. 31, 2027 (the maturity date), subject to a one-year extension option

Redemption:   The debentures are redeemable, in whole or in part, at the option of the corporation upon payment of 100 per cent of the aggregate outstanding principal amount of the debentures together with accrued and unpaid interest. Notice of intention to redeem the debentures shall be given by or on behalf of the corporation to the holders of the debentures not more than 60 days and not less than 30 days prior to the date fixed for redemption.

Interest:  interest at the rate of 12 per cent per annum is payable on the maturity date; if the maturity date is extended, on the maturity date and extended maturity date

Interest flat trading:  The debentures currently trade on an interest flat basis. Refer to Toronto Stock Exchange Bulletin 2024-0473 dated July 2, 2024.

The debentures will continue trading on an interest flat basis until further notice. The TSX will not report accrued interest regarding any trades made on an interest flat basis to participating organizations.

Subordination:   The payment of principal and interest on the debentures is subordinated in right of payment to the extent set forth in the trust indenture governing the debentures to the prior payment in full of all existing and future senior indebtedness of the company.

Conversion:  The debentures are not convertible into common shares of the company.

Clearing and settlement:   The debentures will clear and settle through CDS.

Board lot:  The debentures will trade in a board lot size of $1,000 face value.
