EARLY WARNING REPORT
Superchain Investment One Ltd. has filed a Form 62-103F1, Required Disclosure Under the Early Warning
Requirements, dated Nov. 5, 2025, in connection with its
acquisition of 528,571 common shares of Direct Communication Solutions Inc.
The shares were acquired on Nov. 3, 2025, through a private transaction involving a
distribution by Mike Yao Zhou, a director of the company, to Superchain Investment One
Ltd., a company incorporated under the laws of the British Virgin Islands and
wholly owned by MCNM International Holding Ltd., which is also wholly owned by Mr.
Zhou. Following the transaction, the securityholder holds 528,571 common shares of the company, representing approximately 21.25 per cnet of the currently issued and outstanding common
shares.
The transaction was completed for investment purposes through a private distribution and did not
occur through the facilities of a stock exchange. The purpose of the transaction was to transfer
ownership of certain shares to a wholly owned subsidiary of a company controlled by Mr. Zhou.
The distribution of shares to Superchain does not involve a change of beneficial ownership and
Mr. Zhou will indirectly hold these shares through Superchain for investment purposes.
Mr. Zhou intends to continue assisting the company in its plans to graduate to a senior stock
exchange in North America in conjunction with a future listing financing. Mr. Zhou and the
securityholder intend to review their investment in the company on a continuing basis and may,
depending on various factors, including market conditions, business developments and other
considerations, acquire additional securities of the company, or dispose of some or all of their
holdings, whether through market transactions or private agreements.
The early warning report was filed pursuant to National Instrument 62-103, The Early Warning
System and Related Take-Over Bid and Insider Reporting Issues, and will be available under the
