The TSX Venture Exchange has accepted for filing documentation the share purchase agreement dated June 3, 2026, between the company and arm's-length parties. Pursuant to the terms of agreement, the company has acquired all of the issued and outstanding shares in the capital of Be Fire NV. As consideration in the transaction, the company has paid to the vendor an aggregate amount of $19.9-million, plus up to an additional $10.7-million contingent on Be Fire achieving certain targets over the next three years. As part of the base purchase price, the company has issued to the vendor 242,027 common shares of the company. Additionally, the exchange has approved a future issuance of up to 42,874 Shares, subject to certain conditions being met.
