DISTRICT MINES ANNOUNCES BOARD CHANGES

Vancouver, British Columbia January 21, 2026 District Mines Ltd. ("District Mines" or the "Company") (NEX: DIG.H) announces that Jeremy Ross and Gokul Kannan have resigned as directors of the Company, effective January 19, 2026. The Company thanks Mr. Ross and Mr. Kannan for their service and wishes them success in their future endeavors.

The Company is also pleased to announce the appointment of Mr. Dustin Kinch and Mr. David Bradley to the Board of Directors, effective January 19, 2026.

Mr. Kinch is a professional engineer and is a director and founder of the SubTerra Group of Companies and currently serves as the Chief Operating Officer, a position he has held since February 2024. Prior to that, from July 2018 to February 2024, he was the Founder, President and Chief Executive Officer of CBW Engineering, a SubTerra Engineering company.

Mr. Bradley is an entrepreneur with experience at the intersection of digital assets, infrastructure economics, and power-intensive computing. He has been involved in evaluating and supporting businesses where access to reliable, cost-effective power is a central driver of commercial viability, including data-driven and compute-focused operations.
