DRYDEN GOLD ANNOUNCES OMNIBUS EQUITY INCENTIVE PLAN AND MARKETING AGREEMENTS

Dryden Gold Corp. has provided a corporate update regarding the approval of its omnibus equity incentive plan, the extension of its marketing agreement with Bunt Capital Corp. and the related grant of stock options. It has also provided a clarification concerning the promotional services provided by Epstein Research.

Omnibus equity incentive plan

The company is pleased to announce that the TSX Venture Exchange has approved the company's omnibus plan that was previously approved by the shareholders of the company at its annual general meeting of shareholders, which was held on July 8, 2026, in Vancouver, B.C. The omnibus plan will replace the company's existing 10-per-cent rolling stock option plan, and all stock options granted under the option plan will continue under the omnibus plan.

Details of the omnibus plan are set out in the company's notice of meeting and information circular dated June 3, 2026. Copies of the circular and the omnibus plan are available on SEDAR+ under the company's profile.

Marketing agreement extension and grant of stock options

Dryden Gold is also pleased to announce that it has extended its engagement with Bunt Capital announced on March 7, 2025. Bunt is a full-service marketing and consulting services company focused on the junior metals and mining sector. Bunt will communicate directly with existing shareholders, analysts and prospective investors. Under the terms of the extended Bunt engagement agreement, the company has agreed to pay Bunt $15,000 per month over the 12-month term and grant a total of 200,000 stock options of shares of Dryden Gold. The options will be exercisable for five years at a price of 26 cents and will vest quarterly over one year. Bunt may from time to time acquire or dispose of securities of the company through the market, privately or otherwise, as circumstances or market conditions warrant. Bunt has also agreed to the company's insider trading policy and will observe the company's trading blackouts. Bunt and its affiliates are at arm's length to Dryden Gold and have no other relationship with the company, except pursuant to the Bunt extension. The Bunt extension is subject to the approval of the TSX-V.

Marketing services clarification

Further to the company's news release of Aug. 31, 2026, announcing that it entered into a promotional services agreement dated Feb. 27, 2026, with Epstein Research (ER), pursuant to which ER was engaged to provide investor awareness and promotional services for the company, the company wishes to clarify that ER is an independent contractor with experience and expertise in promoting public companies. ER's business involves providing promotional and investor awareness services to public companies, including written articles, company interviews, on-line commentary, social media promotion, digital advertising and distribution of content through platforms such as CEO.ca, LinkedIn, Substack, Blogger, TalkMarkets, Medium, Stockhouse, Reddit and Stocktwits. Peter Epstein, principal of ER, provided services to the company under the agreement.
