ELEMENT79 GOLD CORP. AND SYNERGY METALS CORP. ANNOUNCE FILING OF CSE LISTING STATEMENT

Element79 Gold Corp. and Synergy Metals Corp. have filed a listing statement dated Aug. 20, 2026, in connection with Element79's previously announced proposed arrangement transaction involving Element79 and Synergy, and Synergy's previously announced proposed merger transaction with 1425957 B.C. Ltd.

Subject to the satisfaction of customary conditions, the transactions are expected to close later this month. Upon closing of the transactions, it is expected that the common shares of Synergy will be listed on the Canadian Securities Exchange. E79 previously received securityholder approval of the arrangement at its securityholder meeting held on July 3, 2026, and was granted the final order from the Supreme Court of British Columbia approving the arrangement on July 10, 2026. Synergy has also filed on SEDAR+ the technical report supporting the transactions entitled "Technical Report on the Dale Property, Porcupine Mining District, Dale Township, Ontario, Canada" prepared by SGS Geological Services with a report date of June 16, 2026, and an effective date of April 13, 2026.
