The TSX Venture Exchange has accepted for filing documentation the share purchase agreement dated March 11, 2026, between the issuer and an non-arm's-length party to the issuer. Pursuant to the terms of agreement, the issuer has sold to the purchaser its 100-per-cent interest in six of its wholly owned subsidiaries, namely Everyday People Homes Inc., EP Homes II Inc., EP Travel Card Inc., Everyday People Care Inc., Everyday People Climb Credit Inc. and Everyday People Supply Chain Solutions Inc. As consideration for the disposition of the divested subsidiaries, the purchaser has paid the issuer a cash amount of $850,000.

Disinterested shareholder approval for the transaction was obtained at the issuer's annual general and special meeting of shareholders held on July 23, 2026.
