EASTFIELD RESOURCES LTD. CLARIFIES ITS AGREEMENT TO ITS SELL OF ZYMO AND INDATA PROPERTIES TO STAR COPPER CORP.
Eastfield Resources Ltd. has clarified its June 30, 2026, news release regarding the sale of its 100-per-cent interest in the Zymo mineral property and its 95.3-per-cent interest in the Indata mineral property to Star Copper Corp. for 10 million shares of Star Copper.
This transaction constitutes a reviewable disposition by Eastfield and is a non-arm's-length transaction, given that William Morton, the president, chief executive officer and a director of Eastfield, is also a director of Star Copper. Mr. Morton has accordingly recused himself from this transaction.
Notwithstanding disclosure in Eastfield's June 30, 2026, news release, the transaction is not a related-party transaction. Also, no finders' fees will be paid in connection with this transaction.
Eastfield will be seeking written consent of at least 50 per cent of disinterested shareholders for this transaction pursuant to applicable TSX Venture Exchange policy. The transaction is also subject to TSX Venture Exchange acceptance.
