ETRUSCUS INSIDER PARTICIPATION IN 1ST TRANCHE OF PRIVATE PLACEMENT

Further to its news release regarding the closing of the first tranche of the company's non-brokered private placement dated Sept. 29, 2026, the company wishes to disclose the nature of insider participation noted in the aforementioned news release.

Certain insiders of the company participated in Tranche 1 for an aggregate of $48,000. The participation by insiders constitutes a related party transaction as defined under Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions. Such participation is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 as neither the fair market value of the securities acquired by the insiders nor the consideration for the securities paid by such insiders exceeds 25 per cent of the company's market capitalization. The company did not file a material change report in respect of the related party transactions at least 21 days before the closing of Tranche 1, which the company deems reasonable in the circumstances in order to complete Tranche 1 in an expeditious manner and which has been unanimously approved by the company's board of directors.

The financing is subject to final acceptance of the Canadian Securities Exchange. All securities issued pursuant to the financing are subject to a hold period of four months and one day from the date of issuance.
