SHARES FOR DEBT AGREEMENT SIGNED

Earthworks Industries Inc. has signed an agreement with an arm's-length creditor to settle indebtedness of $56,200 owing to the creditor by issuance to it of 750,000 common shares at a price of 7.5 cents per share. The agreement is subject to acceptance by the TSX Venture Exchange.
