FORACO ANNOUNCES NORMAL COURSE ISSUER BID

TORONTO and LUNEL, France, Sept. 24, 2026 /CNW/ -- Foraco International SA (TSX: FAR) (the "Company" or "Foraco") today announced that the Toronto Stock Exchange (the "TSX") has accepted for filing the Company's Notice in respect of a normal course issuer bid (the "NCIB") to be transacted through the facilities of the TSX and/or other designated exchanges and/or through other permitted means, including through one or more alternative Canadian trading systems. In connection with the NCIB, the Company has entered an automatic share purchase plan with its designated broker to allow for purchases of its common shares (the "Shares").

Pursuant to the NCIB, Foraco may purchase up to 1,000,000 of its Shares representing approximately 1% of the total 99,251,798 Shares of the Company issued and outstanding as of September 17, 2026. Purchases will be made at prevailing market prices commencing September 28, 2026 and ending September 27, 2027. Pursuant to TSX policies, daily purchases will not exceed 45,868 common shares, other than block purchase exceptions.

In the previous NCIB that commenced September 15, 2025 ("Prior NCIB"), Foraco sought and obtained approval from the TSX to purchase 1,000,000 of its common shares. Foraco's Prior NCIB expired on September 14, 2026. The Company purchased 729,600 Shares from September 15, 2025 to September 14, 2026 and the average weighted price of the Shares purchased was CAD$2.56. The securities were repurchased through the TSX and through alternative Canadian trading systems. The average daily trading volume for the six months period ended August 31, 2026 was 183,475 Shares.

The Company has engaged Desjardins Capital Markets ("Desjardins") to act as its designated broker to purchase Shares in connection with the NCIB ("Desjardins Engagement"). During the term of the Desjardins Engagement, the Company will not communicate any material undisclosed information to the trading staff at Desjardins, and accordingly Desjardins may make purchases regardless of whether a blackout period is in effect or whether there is material undisclosed information about the Company at the time purchases are made.

The Company currently holds a sufficient number of Shares in treasury to more than cover its anticipated obligations under its employee incentive share plan for the coming year. Accordingly, the Company intends to prioritize purchases under the NCIB as a means of returning value to shareholders. Shares purchased under the NCIB may be cancelled or held in treasury, depending on the Company's future requirements and capital allocation priorities.
