GRAFTA NANOTECH CORP. ANNOUNCES CAPITAL MARKETS ADVISORY ENGAGEMENT AND GRANT OF STOCK OPTIONS

Grafta Nanotech Corp., effective Aug. 8, 2026, has engaged 17305486 Canada Ltd. (doing business as Ace Capital Partners) to provide capital markets advisory services to the company. Pursuant to the terms of the advisory agreement, the adviser will provide strategic and financial advisory services to the company, which may include analysis of potential mergers and acquisitions opportunities, strategic advisory support related to corporate finance matters, and such other related financial advisory services as may be reasonably requested by the company.

In consideration for the advisory services, the company will pay the adviser a monthly cash fee of $9,000 (plus applicable taxes), payable in advance on the first day of each month during the three-month term of the advisory engagement. The adviser acts as an independent contractor and is not registered under National Instrument 31-103, Registration Requirements, Exemptions and Ongoing Registrant Obligations. The services provided are limited to non-registerable consulting and strategic advisory functions.

Grant of stock options

In connection with the advisory engagement, the company has granted an aggregate of 135,000 stock options to the adviser pursuant to the company's stock option plan. The options are each exercisable into one common share of the company at an exercise price of 20 cents per optioned share. The options were granted on Aug. 8, 2026, are exercisable for three years from the date of grant and vest immediately upon grant. The options are subject to the terms and conditions of the plan and the policies of the TSX Venture Exchange.
