GARIBALDI ANNOUNCES NON BROKERED PRIVATE PLACEMENT

Garibaldi Resources Corp. has arranged a non-brokered private placement of up to 14,285,714 units at a price of seven cents per unit for gross proceeds of up to $1.0-million.

Each unit will consist of one common share of the company and one common share purchase warrant, with each warrant entitling the holder to purchase one share at a price of 10 cents per warrant share for a period of three years following the closing of the offering. The proceeds from the offering will be used for exploration and working capital purposes.

All securities issued in connection with the offering will be subject to a statutory hold period expiring four months and one day after closing of the offering. The offering may include finders' fees payable in cash and/or securities, and is subject to approval of the TSX Venture Exchange. Insiders may participate in the offering. Any participation by insiders in the offering will constitute a related party transaction under Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions, but is expected to be exempt from the formal valuation and minority shareholder approval requirements of MI 61-101.

In the current market conditions, the company has elected not to proceed with its previously announced LIFE (listed issuer financing exemption) offering of April 22, 2026, and May 11, 2026.
