XAU RESOURCES INC. ANNOUNCES SHAREHOLDERS' MEETING RESULTS

Xau Resources Inc. shareholders approved all matters put forth for approval at the annual and special shareholders meeting held on Oct. 20, 2026.

The shareholders fixed the number of directors of the company to be elected at four persons, and re-elected Gary Bay, Peter Hambro, Nataliya Hearn and Daniele Spethmann to the board of directors. The shareholders also reappointed RSM Canada LLP, chartered professional accountants, as the auditor of the company and authorized the directors to fix its remuneration. In addition, the shareholders confirmed and approved the company's 10-per-cent rolling stock option plan.
