ANDREW JOHN THOMSON ACQUIRES SECURITIES OF GALAXY VENTURES INC.

Andrew John Thomson has directly acquired ownership and control of 200,000 common shares of Galaxy Ventures Inc., effective July 9, 2026.

The subject shares were acquired pursuant to a private share purchase transaction and represent 2.40 per cent of all issued and outstanding common shares of the company as of July 9, 2026, resulting in a corresponding change to the aggregate percentage ownership of the company by the acquiror.

Immediately prior to the acquisition, the acquiror beneficially owned, or exercised control or direction over, an aggregate of 1,158,200 shares, including shares beneficially owned by the acquiror's joint actor over which the acquiror exercised control or direction, representing approximately 13.90 per cent of the issued and outstanding shares of the company.

Immediately following the acquisition, the acquiror beneficially owns, or exercises control or direction over, an aggregate of 1,358,200 shares, including shares beneficially owned by the acquiror's joint actor over which the acquiror exercises control or direction, representing approximately 16.31 per cent of the issued and outstanding shares of the company.

The subject shares were acquired for an aggregate purchase price of $10,000.

The subject shares were acquired for investment purposes. The acquiror and his joint actor may, from time to time, acquire additional securities of the company or dispose of securities of the company depending on market conditions, investment considerations and other relevant factors. The acquiror's intentions with respect to the company are consistent with the company's publicly disclosed business objectives and corporate plans.
