The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement.

Number of shares:  50,454,544 subordinate voting shares

Purchase price:  5.5 cents per share

Warrants:  50,454,544 share purchase warrants to purchase 50,454,544 shares

Warrant exercise price:  11 cents for a three-year period, subject to accelerated expiry

Number of placees:  three placees

The company issued a news release on April 18, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
