INTEGRATED QUANTUM TECHNOLOGIES ANNOUNCES CLOSING OF OVER-SUBSCRIBED NON-BROKERED PRIVATE PLACEMENT OF UNITS

Integrated Cyber Solutions Inc., doing business as Integrated Quantum Technologies, further to its news release dated April 7, 2026, has closed a non-brokered private placement financing of 5,015,000 units of the company at a price of 50 cents per unit for aggregate gross proceeds of $2,507,500. The offering was oversubscribed by an aggregate of $507,500.

Each unit consists of one common share of the company and one-half of one common share purchase warrant. Each warrant is exercisable to purchase one additional share at an exercise price of 75 cents for a term of two years from the date of issuance thereof.

In connection with the offering, the company paid certain eligible third parties dealing at an arm's-length with the company cash commissions totalling $78,575, representing 7 per cent of the proceeds raised from subscribers introduced to the company by such finders, and issued an aggregate of 157,150 non-transferable finder's fee (FF) warrants, with each FF warrant exercisable to acquire one share at an exercise price of 75 cents for a term of two years from the date of issuance thereof.

The securities issued pursuant to the offering are subject to a four-month hold period pursuant to securities laws in Canada.

The company will use the net proceeds of the offering for general working capital and software development.
