IONIK ANNOUNCES DIRECTOR RESIGNATION

Natasha De Masi has resigned from her position on the board of directors, effective Feb. 17, 2026. Ms. De Masi has also stepped down from her role as a member of the governance and compensation committee.

"We are grateful for Natasha's contributions as a member of the board and the governance and compensation committee, and wish her well in her future endeavours."

Following Ms. De Masi's departure, the board comprises four directors, three of whom are independent. The board has appointed Mr. Colabrese to the governance and compensation committee, effective immediately, to fill the vacancy created by Ms. De Masi's resignation. The company intends to consider the appointment of an additional director at its next annual general meeting of shareholders.
