Integral Metals closes $1.25-million private placement

2026-09-11 03:56 ET - News Release

Mr. Paul Sparkes reports

INTEGRAL METALS ANNOUNCES CLOSING OF NON-BROKERED FLOW-THROUGH PRIVATE PLACEMENT

Integral Metals Corp. has closed its previously announced non-brokered private placement of units of the company at a price of 40 cents per unit, issuing 3,125,000 units for aggregate gross proceeds of $1.25-million.

Each unit consists of one common share of the company issued as a flow-through share within the meaning of the Income Tax Act (Canada) and one transferable common share purchase warrant of the company. Each warrant entitles the holder to acquire one non-flow-through common share of the company at an exercise price of 50 cents per warrant share for a period of 18 months from the date of issuance. The securities are subject to a statutory and exchange hold period of four months and one day from the date of issuance.

The gross proceeds from the issuance of the FT shares will be used to incur eligible Canadian exploration expenses that are intended to qualify as critical flow-through mining expenditures, as those terms are defined in the tax act, on the company's mineral properties, including the company's KAP project. The company intends to renounce those expenses to the initial purchasers of the FT shares with an effective date no later than Dec. 31, 2026, in an aggregate amount not less than the gross proceeds raised from the issuance of the FT shares.
