JAMIESON WELLNESS INC. REMINDS SHAREHOLDERS TO VOTE IN ADVANCE OF THE PROXY VOTING DEADLINE FOR THE UPCOMING SPECIAL MEETING OF SHAREHOLDERS

Jamieson Wellness Inc. has reminded its shareholders to vote ahead of the proxy voting deadline for the company's coming special meeting of shareholders.

The proxy voting deadline is at 10 a.m. Toronto time on Monday, Sept. 28, 2026.

At the meeting, shareholders of record as at the close of business on Aug. 21, 2026, will be asked to consider and vote on a special resolution to approve a statutory plan of arrangement under Section 182 of the Business Corporations Act (Ontario), pursuant to which Kirin Holdings Company Ltd. has agreed to acquire all of the issued and outstanding common shares of Jamieson Wellness at a price of $45.75 per share in cash.

Unanimous board recommendation

After careful consideration and taking into account, among other things, the unanimous recommendation of a special committee of independent directors of the board of directors, Jamieson Wellness's board, after receiving legal and financial advice, has unanimously determined that the arrangement is in the best interests of the company and the consideration to be received by shareholders is fair, from a financial point of view, to such shareholders. Accordingly, and on the unanimous recommendation of the special committee, the board unanimously recommends that shareholders vote for the arrangement resolution.

Independent proxy advisory firms Institutional Shareholder Services Inc. and Glass Lewis & Co. LLC have also recommended Jamieson Wellness's shareholders vote for the arrangement resolution.

Details about the special meeting

The meeting will be in a virtual only format, which will be conducted by live audio webcast over the Internet using the meeting password "jamieson2026" (case-sensitive). The company has designed the format of the virtual meeting so that shareholders have substantially similar opportunities to vote and participate as they would have at a physical meeting, but with the ability to do so remotely from any location around the world.
