KRAIT CRITICAL MINERALS ENGAGES INDEPENDENT TRADING GROUP FOR MARKET-MAKING AND MININGIR FOR MEDIA AND COMMUNICATIONS SERVICES
Krait Critical Minerals Corp. has engaged the services of Independent Trading Group to provide market-making services in accordance with Canadian Securities Exchange policies. ITG will trade shares of the company on the CSE and all other trading venues with the objective of maintaining a reasonable market and improving the liquidity of the company's common shares.
The agreement is for an initial term of one month and will renew for additional one-month terms unless terminated. In consideration for the services performed under the agreement, the company shall pay the ITG a service fee in the amount of $6,000 per month plus all applicable taxes. The agreement may be terminated by either party with 30 days notice. There are no performance factors contained in the agreement, and ITG will not receive shares or options as compensation. ITG and the company are unrelated and unaffiliated entities, and, at the time of the agreement, neither ITG nor its principals have an interest, directly or indirectly, in the securities of the company.
Media and communications agreement
The company has also entered into a service agreement with Mining Investor Resources Media Ltd. to provide investor awareness, media and communications services to the company.
The company confirms that the services to be provided by MiningIR, including the production and dissemination of editorial content, management video interviews, and other media content to an investor audience through MiningIR's financial media platforms and distribution network, constitute investor relations activities and promotional activity within the meaning of the Canadian Securities Exchange Policy 7 (Investor Relations, Promotional Activity and Other Significant Transactions).
Under the terms of the agreement, MiningIR will provide investor relations and promotional services for a 12-month term commencing on Aug. 15, 2026, and ending on Aug. 14, 2027. The company will pay MiningIR a total cash fee of $48,000 for the term. The compensation does not include any securities, options or other performance-based consideration.
MiningIR will distribute investor awareness content through its digital media platforms. Jamie Hyland is the representative responsible for providing services to the company.
To the knowledge of the company, MiningIR, Mr. Hyland, and MiningIR's principals and affiliates do not directly or indirectly own any securities of the company, and have no present intention of acquiring any securities of the company. MiningIR is a privately held European media and communications company.
