The TSX Venture Exchange has accepted for filing documentation relating to an option agreement dated Aug. 11, 2023, as amended in July, 2024, December, 2024, and September, 2025, between TomaGold Corp. and Chibougamau Independent Mines Inc. Pursuant to the agreement, the company shall acquire a 100-per-cent interest in five mining properties in Chibougamau, Que. (the West Block properties), for the consideration detailed in the attached table.

The number of common shares represented by the $200,000, $200,000, $300,000, $350,000 and $350,000 in common shares to be issued in January, 2026, September, 2026, September, 2027, September, 2028, and September, 2029, respectively, will have a deemed price per share equal to the 20-day VWAP (volume-weighted average price) of the issuer's shares on the exchange on the applicable anniversary date of the agreement, subject to a minimum price of five cents per share.
