LQWD TECHNOLOGIES ANNOUNCES AMENDMENT TO OUTSTANDING WARRANTS
Lqwd Technologies Corp. has applied to the TSX Venture Exchange to amend the term of 1,666,667 outstanding common share purchase warrants issued in connection with the company's non-brokered private placement announced on Sept. 12, 2025.
Each warrant is exercisable to acquire one common share of the company at an exercise price of $2 per share and, absent the proposed amendment, is set to expire on Sept. 24, 2026, being 12 months following the closing of the private placement.
Subject to the acceptance of the TSX-V, the company intends to extend the expiry date of the warrants from Sept. 24, 2026, to Sept. 24, 2028. The exercise price of the warrants will remain unchanged at $2 per common share for each year of the extended term. All other terms of the warrants remain the same, including if the volume-weighted average trading price of the common shares on the TSX-V is equal to or greater than $2.50 for a period of 10 consecutive trading days. The company will have the right to accelerate the expiry date of the warrants by giving written notice that the warrants will expire on the date that is not fewer than 10 days from the date notice is provided by the company to the warrantholder.
Approximately 1.2 per cent of the warrants are held by insiders of the company, and none of the warrants have been exercised to date.
This release is made pursuant to Section 3.1(f) of Policy 4.1 (Private Placements) of the TSX-V, which requires disclosure of an application to amend the terms of previously issued warrants.
