MEDBRIGHT AI ANNOUNCES TERMINATION OF LIMMI AGREEMENTS

The transaction agreements entered into on Oct. 16, 2023, between Medbright AI Investments Inc., Mentorhead Inc. (doing business as Limmi) and certain subsidiaries of the company have been terminated upon mutual agreement of the parties. Please refer to the company's news release dated Oct. 17, 2023, for details of the agreements, which have been terminated.

Pursuant to the termination agreement, the parties have agreed that: (i) all equity interests in Limmi issued to the company pursuant to the transaction agreements will be returned and cancelled; and (ii) all common shares in the company's subsidiary, Vinergy Acquisition Corp., issued to Limmi pursuant to the transaction agreements will be returned and cancelled. As a result, Limmi will no longer be entitled to exchange such shares into up to 35 million Class A non-voting common shares (which are convertible on a one-for-one basis into common shares of the company) upon the satisfaction of certain conditions set out in the transaction agreements.
