METALERO ANNOUNCES $3.0M PRIVATE PLACEMENT

Metalero Mining Corp. proposes to complete a non-brokered private placement financing of up to 13,636,364 units at a price of 22 cents per unit for gross proceeds of up to $3-million. Each unit will consist of one common share and one share purchase warrant. Each warrant will entitle the holder to purchase one additional common share of Metalero at an exercise price of 35 cents for a period of 24 months from the date of issuance. The gross proceeds from the sale of the units will be used to advance exploration and development of Metalero's projects, including the newly acquired concessions in Bolivia, as well as for general working capital purposes.

The offering is subject to the approval of the TSX Venture Exchange. Metalero may pay finders' fees in connection with the offering to arm's-length finders in accordance with the policies of the TSX-V and as permitted by law. All securities issued will be subject to a four-month-and-one-day hold period.
