GLOBAL TACTICAL METALS CORP. ANNOUNCES SHARES FOR DEBT SETTLEMENT AND DIRECTOR
RESIGNATION
Toronto, Ontario, October 20, 2026. Global Tactical Metals Corp. (CSE: MONI) (the "Company") announces
that it has entered into a debt settlement agreement dated October 14, 2026 with 1510906 B.C. Ltd. (the
"Creditor"), a company controlled by Kelly Abbott, the Company's Chief Executive Officer.
Under the agreement, the Company will issue 2,500,000 common shares (the "Debt Shares") at a deemed price
of $0.05 per share to settle $125,000 of the $132,300 (including GST) owed to the Creditor for management and
consulting services. Settling the debt in shares allows the Company to preserve its cash for working capital.
The Debt Shares are being issued under the prospectus exemption in section 2.14 of National Instrument 45-106
and will be subject to a hold period of four months and one day from the date of issuance under applicable
securities laws. The Debt Shares will also be subject to a four-month hold period under CSE policies.
Related party transaction
The issuance of the Debt Shares to the Creditor is a "related party transaction" under Multilateral Instrument 61-
101 Protection of Minority Security Holders in Special Transactions ("MI 61-101"), because the Creditor is
controlled by a senior officer of the Company. The Company is relying on the exemptions from the formal
valuation and minority shareholder approval requirements in sections 5.5(b) and 5.7(1)(a) of MI 61-101. No
securities of the Company are listed on the markets specified in MI 61-101, and neither the fair market value of
the Debt Shares nor the fair market value of the consideration for them exceeds 25% of the Company's market
capitalization. The Company did not file a material change report more than 21 days before the expected closing
because the terms of the settlement were settled shortly before this announcement and the Company wishes to
reduce its liabilities without delay.
Ownership
Before closing, Mr. Abbott and the Creditor own or control no common shares of the Company. After closing, the
Creditor will own 2,500,000 common shares, about 19.98% of the 12,510,774 common shares then issued and
outstanding. The settlement will not create a new Control Person (as defined in CSE policies). The Creditor will
file an early warning report under National Instrument 62-103 on closing, which will be available on SEDAR+ at
www.sedarplus.ca under the Company's profile.
Director Resignation
The Company also announces that Erin Wilson has resigned as a director of the Company. The board of directors
thanks Erin Wilson for the contributions made to the Company and wishes Erin well in future endeavours.
