Mr. Kelly Abbott reports
GLOBAL TACTICAL METALS CORP. CLOSES SHARES FOR DEBT SETTLEMENT
Global Tactical Metals Corp. has closed the debt settlement previously announced on Oct. 20, 2026, with 1510906 B.C. Ltd. (the
creditor), a company controlled by Kelly Abbott, the company's chief executive officer.
On Oct. 30, 2026, the company issued 2.5 million common shares to the creditor at a
deemed price of five cents per share in settlement of $125,000 of indebtedness owed to the creditor for management
and consulting services, under a debt settlement agreement dated Oct. 14, 2026. Following the issuance, the
company has 12,510,774 common shares issued and outstanding.
The debt shares were issued under the prospectus exemption in Section 2.14 of National Instrument 45-106.
Under applicable securities laws, the debt shares may not be traded before March 1, 2027. The debt shares are
also subject to a four-month hold period under Canadian Securities Exchange policies expiring on Feb. 28, 2027.
Related party transaction
The issuance of the debt shares to the creditor is a related party transaction under Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions, because the creditor is
controlled by a senior officer of the company. The company relied on the exemptions from the formal valuation
and minority shareholder approval requirements in sections 5.5(b) and 5.7(1)(a) of MI 61-101. No securities of the
company are listed on the markets specified in MI 61-101, and neither the fair market value of the debt shares
nor the fair market value of the consideration for them exceeds 25 per cent of the company's market capitalization. The
company did not file a material change report more than 21 days before closing because the terms of the
settlement were settled shortly before the announcement and the company wished to reduce its liabilities without
delay.
Early warning disclosure
On Oct. 30, 2026, the creditor, of Suite 3606, 833 Seymour St., Vancouver, B.C., V6B 0G4, acquired
ownership of 2.5 million common shares of the company from treasury in settlement of $125,000 of
indebtedness, representing a deemed price of five cents per share. Kelly Abbott controls the creditor and is its joint
actor.
Immediately before the acquisition, the creditor and Mr. Abbott did not own or have control or direction over any
common shares of the company. Immediately after the acquisition, the creditor owns and Mr. Abbott has control
or direction over (through the creditor) 2.5 million common shares, representing about 19.98 per cent of the 12,510,774
issued and outstanding common shares on an undiluted basis. Neither the creditor nor Mr. Abbott holds any
convertible securities of the company.
The creditor acquired the common shares in settlement of debt owed to it by the company, and holds them for
investment purposes. Depending on market conditions and other factors, the creditor and Mr. Abbott may acquire
additional securities of the company or dispose of some or all of their securities, in each case in accordance with
applicable securities laws.
An early warning report will be filed under National Instrument 62-103 and will be available on SEDAR+ under the company's profile. A copy of the report may also be obtained from Mr. Abbott at
778-237-5212.
