PROMINO PROVIDES CORPORATE UPDATE

Promino Nutritional Sciences Inc. has been served with a statement of claim commenced in the Ontario Superior Court of Justice by its former chief executive officer, Stuart Lowther (the plaintiff). The plaintiff resigned as chief executive officer and a director of the company in September, 2023. The claim alleges, among other things, wrongful dismissal, breach of contract and other employment-related matters, and seeks monetary damages and other relief. The company believes the claims are without merit and intends to defend the action vigorously. The company further believes it has substantial legal and equitable claims and remedies available against the plaintiff arising from the matters described in the claim, which it is currently evaluating with legal counsel.

The allegations contained in the claim have not been proven in court. At this preliminary stage, the company is not in a position to comment further on the specific allegations. The company will respond through the court process and will provide further updates if and when required in accordance with applicable securities laws.

The company does not expect the commencement of the claim to affect its day-to-day operations or the ongoing execution of its business strategy.
